Terms of Service
Effective date: [Insert date]
These Terms of Service govern your access to and use of Menips. By creating an account, accessing or using the platform, you agree to these terms. If you do not agree, you must not use Menips.
1. About Menips
Menips provides infrastructure for creators to establish and manage their presence on the internet. Depending on the features available, users may publish content, build communities, offer products and services, sell digital or physical goods, provide courses, accept bookings, receive donations, and manage subscriptions.
Menips provides the platform and related tools. Creators remain responsible for their own spaces, content, offerings, customers and business activities.
2. Accounts and eligibility
You must provide accurate information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for activities carried out through your account.
You must be legally capable of entering into a binding agreement and meet the minimum age required by applicable law to use Menips. If you use Menips on behalf of an organisation or another person, you confirm that you are authorised to bind them to these terms.
You must notify us promptly if you believe your account has been accessed without authorisation.
3. Creator profiles and content
Menips allows users to create profiles and, where supported, collaborate on profiles owned or managed by other users. Profile owners and members are responsible for the content, settings, permissions and activities associated with the profiles they manage.
You retain ownership of the content you create and submit, subject to any rights you grant to others. You grant Menips a limited, non-exclusive licence to host, store, reproduce, display and process that content as necessary to operate, secure and provide the platform and the features you choose to use.
You must have the rights and permissions necessary to upload, publish, distribute or sell your content. You must not use Menips to violate another person's intellectual property, privacy or other legal rights.
4. Creator offerings and transactions
Creators are responsible for the products, services, courses, subscriptions, bookings, tickets and other offerings they make available through their profiles. Creators must provide accurate descriptions, pricing, availability, fulfilment details, refund terms and customer support.
Creators are responsible for fulfilling orders, delivering services, handling customer complaints, processing refunds and complying with consumer protection laws that apply to their activities. Menips does not become the seller or provider of a creator's offering merely because the offering is displayed or managed through the platform.
Where creators connect their own payment gateway or payment service provider, payment processing is subject to that provider's terms, policies and availability. Menips does not control third-party payment services.
5. Platform fees and payments
Menips may charge a platform fee on transactions processed through supported platform features. Unless otherwise stated, the platform fee is 2% of eligible transaction revenue after refunds. Refunds must be reflected through supported payment-provider notifications or, where applicable, correctly recorded by the creator.
Where platform fees apply, Menips may issue a periodic invoice for the amount due. The applicable invoice will specify the amount and payment deadline. Failure to pay an amount due may result in restrictions or suspension of the relevant profile or platform access, subject to applicable law.
Creators are responsible for payment gateway charges, applicable taxes, duties, reporting obligations and other costs associated with their business activities, unless expressly stated otherwise.
6. Integrations, domains and storage
Menips may allow creators to connect third-party services, payment providers, custom domains, automation tools and external storage accounts. Your use of those services is governed by the relevant third party's terms and privacy policies.
You are responsible for the credentials, access keys, permissions, configurations and costs associated with services you connect. You must only provide credentials you are authorised to use and must configure access with appropriate restrictions.
Menips is not responsible for interruptions, data loss, security incidents or changes caused by third-party services or configurations outside its reasonable control.
7. Acceptable use
You must not use Menips to:
- Break the law, facilitate fraud or engage in deceptive or harmful activities.
- Publish content that infringes intellectual property, privacy or other rights.
- Distribute malware, attempt unauthorised access or interfere with platform security.
- Abuse, harass, threaten, impersonate or exploit other users.
- Manipulate transactions, platform fees, refunds, reviews or verification systems.
- Circumvent platform restrictions or use the service in a way that disrupts other users.
We may investigate suspected violations and take proportionate action where necessary to protect users, the platform or third parties.
8. Moderation and enforcement
Menips may use automated systems and human review to assess accounts, profiles, content, listings and reported activity. Automated decisions may be reviewed or supplemented by human review where appropriate.
We may remove or restrict content, limit features, suspend profiles or accounts, or take other appropriate action when we reasonably believe these terms, applicable law or platform safety requirements have been violated.
Where appropriate and legally permitted, we may provide notice and an opportunity to challenge an enforcement decision.
9. Availability and changes
We may update, improve, suspend or discontinue features of Menips. We aim to keep the platform available, but do not guarantee uninterrupted or error-free service. Maintenance, technical issues, security events and third-party dependencies may affect availability.
We may update these terms from time to time. We will update the effective date when changes are made. Where required by law, we will provide additional notice or obtain consent. Continued use after updated terms take effect means you accept the revised terms.
10. Termination
You may stop using Menips and request account closure through the available account controls or by contacting us. Certain information may need to be retained where required by law, for legitimate business purposes or to resolve disputes.
We may suspend or terminate access where necessary to enforce these terms, comply with law, protect users or address security and operational risks. Termination does not remove obligations or liabilities that arose before termination.
11. Disclaimers and liability
To the extent permitted by law, Menips is provided on an as-available basis. We do not guarantee that the platform will meet every requirement or that all content, listings, creators or third-party services are accurate, reliable or available.
To the extent permitted by applicable law, Menips will not be liable for indirect, incidental, special or consequential loss, loss of profits, revenue, data, goodwill or business opportunities arising from your use of the platform. Nothing in these terms excludes liability that cannot legally be excluded.
You are responsible for your interactions and transactions with creators, customers and third-party service providers.
12. General and contact
If any part of these terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. These terms do not create an employment, agency, partnership or joint venture relationship between you and Menips.
These terms and any disputes arising from them are subject to the laws and jurisdiction applicable to the Menips operating entity, subject to mandatory consumer protections and other applicable law.
